Welcome to VISTRA TECHNOLOGIES. These Terms and Conditions ("Terms") govern your access to and use of the Retail Audit Intelligence Tool (the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy.

1. Professional License Grant

VISTRA TECHNOLOGIES grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform solely for your internal business purposes. This license is subject to compliance with these Terms and any applicable subscription agreements.

2. Acceptable Use Policy

You agree to use the Platform in a professional and lawful manner. Prohibited activities include, but are not limited to:

• Circumventing or attempting to circumvent any security or authentication measures.
• Using the Platform to store or transmit infringing, libelous, or otherwise unlawful material.
• Interfering with the integrity or performance of the Platform or the data contained therein.
• Attempting to reverse engineer, decompile, or extract source code from the Platform's AI models or proprietary algorithms.

3. Intellectual Property Rights

All rights, title, and interest in and to the Platform, including its user interface, "Quiet Luxury" design system, logos, AI assistant logic, and the Retail Audit Intelligence Tool framework, are the exclusive property of VISTRA TECHNOLOGIES and its licensors. No ownership rights are transferred to you under these Terms.

4. Data Integrity and Reporting

The Platform provides automated reporting functionality (PDF, Excel, Word). You acknowledge that once an audit is submitted, reports are generated as "frozen" immutable documents to ensure the integrity of the professional record. It is your responsibility to ensure the accuracy of all data entered prior to final submission.

5. Limitation of Liability and Indemnification

To the maximum extent permitted by law, VISTRA TECHNOLOGIES shall not be liable for any indirect, incidental, or consequential damages arising out of your use of the Platform. You agree to indemnify and hold VISTRA TECHNOLOGIES harmless from any claims, losses, or liabilities resulting from your breach of these Terms or misuse of the Platform's AI-driven insights.

6. Modifications to Service and Terms

We reserve the right to update or modify the Platform and these Terms at any time to reflect changes in our professional services, technology, or legal requirements. Your continued use of the Platform signifies acceptance of any updated Terms.

7. Selection of Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which VISTRA TECHNOLOGIES is incorporated, without regard to its conflict of law principles.
